ST. LOUIS, April 8, 2008 /PRNewswire-FirstCall/ -- Amdocs NYSE: DOX, the leading provider of customer experience systems, today announced it has acquired Jacobs Rimell, Ltd. (Jacobs Rimell), a provider of fulfillment solutions for the broadband cable industry for approximately $45 million in cash, net of cash on hand, subject to post-closing adjustments. With this acquisition, Amdocs continues to execute on its strategy of being the leader in customer experience systems for the broadband cable industry and the OSS market.
The acquisition of Jacobs Rimell augments Amdocs' OSS offering, and builds on its past acquisitions of DST Innovis Inc. and Cramer Systems Group Ltd. Amdocs supports both business support systems (BSS) and OSS for the broadband cable industry and is now the only vendor to provide a complete order-to-cash solution spanning all customer experience systems. As a result, service providers can launch new converged services more quickly and cost effectively. Comcast is a current customer of Jacobs Rimell and Amdocs, and this acquisition will expand upon Amdocs' current relationship with this company.
"By adding this powerful application suite, Amdocs provides a comprehensive solution to enable broadband cable providers to automate high volume processes for 'right first time' service fulfillment for both consumers and businesses," said Eli Gelman, chief operating officer and executive vice president of Amdocs Management Limited. "Amdocs offers converging providers around the world an industry-leading BSS and OSS solution that integrates ordering, activation, fulfillment and billing to accelerate time to market for new services and enhance the customer experience."
"Jacobs Rimell's components are an integral part of Comcast's provisioning infrastructure supporting new Comcast product introductions," said Andy Baer, chief information officer of Comcast. "Comcast looks forward to working with Amdocs as it enhances Jacobs Rimell's capabilities and integrates Jacobs Rimell into its broader service offerings."
"Amdocs and Jacobs Rimell have a shared vision of where the industry is going, what the broadband cable industry needs to continue to transform, and what it takes to be both a leading technology provider and a trusted advisor," said David Jacobs, chief technology officer and co-founder of Jacobs Rimell. "The integration of Jacobs Rimell's service fulfillment solutions with Amdocs' OSS portfolio brings together the deep industry knowledge and an expanded product suite needed for customers to simplify new product introduction and quickly broaden their services portfolios."
The impact of the acquisition on Amdocs' non-GAAP earnings per share is expected to be neutral in fiscal 2008. The impact on GAAP results is expected to be dilutive in fiscal 2008 but will not be known until after Amdocs completes the purchase price accounting for the acquisition. Amdocs may incur a one-time acquisition-related expense to account for certain costs related to the acquisition.
